The only documents of a BVI Company on public record are the Certificate of Incorporation and the Memorandum and Articles of Association. The Registers of Directors and Members are kept by the Registered Agent which can only be obtained with the permission of the Directors or Court.
Offshore entities allow protection of assets from punitive taxation, frivolous tort attack, estate duties, and allow offshore investment completely free of intrusion on the privacy of the beneficial owners.
Any or all assets of a BVI Company may be transferred to trustees of another legal entity for the benefit of the BVI Company, its beneficial owners or creditors.
Provisions in respect of company name, bearer shares, issuance of shares, arrangements for meetings and many other features are maximised for flexibility.
